Upgrading to latest version of K2 was created by John

Do I need to uninstall existing version or can I simply install latest version over the top of exisiting one

You can install the latest version over the older one.

I've done some changes in files in model folder... will these be crushed ? Can they be overriden in /template/html ?

These changes will be lost since the model folder cannot be overriden. You will just have to apply them again when the update is finished.
