I'm doing some (small) mods to the SIG and jquery_fancybox php's. I've managed to create the overrides for the jw_sig/jw_sig/tmpl/Classis/default.php and it is working as it should.

I also want to make changes to the plugins/content/jw_sig/jw_sig/includes/js/jquery_fancybox/popup.php file, but I'm not having any success. I'm not sure where this file must be in the template/html directory. I've tried a couple of options, but nothing so far worked. The only way O could make it work was to change the original file in the original location.

Is it possible to have an override for this jquery_fancybox/popup.php, and what should the directory structure be?

Unfortunately this file cannot be overriden.
If you edit it, which I presume that you already have, you need to keep a backup of your edits.
